The only DIFFERENCE is that the "nice" labeled one is from the first release, the other (simple version) is 2nd or later release (sales wise). No difference in playing tho.
I've got 2 version of nemesis II, one with a colour full print label (like the penguin) and one simple version.. Konami did this all the time (and it's stupid)
As far as I know there are 3 different labels for the same game:
Normal European, Normal Japanese and Special Edition.
The "special edition" was european release in smaller box which were discussed in this thread: www.msx.org/forumtopic3729.html (too bad that the image links do not work anymore)
The smaller boxes were printed in japan and the regular small boxes were printed in UK.
